Terms Of Service

From everyone at Vega, thank you for using our products! We build them to help satellite operators and spectrum managers do their best work. Because we don't know every one of our customers personally, we have to put in place some Terms of Service to help ensure a reliable and fair experience for everyone.
When we say "Company", "we", "our", or "us" in this document, we are referring to Vega Inc.
When we say "Services", we mean our websites, including vega.space, and any product created and maintained by Vega Inc. That includes the Vega satellite coverage analysis platform, whether delivered within a web browser, desktop application, mobile application, or another format.
When we say "You" or "your", we are referring to the people or organizations that own an account with one or more of our Services.
We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take any other appropriate steps to notify account holders.
When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.
If you violate any of the Terms, we may terminate your account.
Account Terms
- You are responsible for maintaining the security of your account and password and for ensuring that any of your users do the same. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. We recommend all users set up two-factor authentication for added security.
- You may not use the Services for any purpose outlined in our Use Restrictions policy, and you may not permit any of your users to do so, either.
- You are responsible for all data submitted to and activity that occurs under your account, including data submitted by and activity of any users in your account.
- You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
Use Restrictions
You may not use the Services for any of the following purposes:
- Illegal activities: Violating any laws, regulations, or international treaties, including spectrum regulations, export controls, or sanctions.
- Harmful interference: Using analysis data to intentionally cause harmful radio frequency interference to other satellite operators or ground stations.
- Unauthorized access: Attempting to access accounts, systems, or data you are not authorized to access.
- Data misuse: Reselling, redistributing, or commercially exploiting satellite tracking data, coverage analysis results, or frequency allocation information without authorization.
- Abuse of resources: Excessive automated requests, denial-of-service attacks, or actions that degrade the service for other users.
- Misrepresentation: Impersonating other users, organizations, or satellite operators.
- Circumvention: Bypassing access controls, subscription limits, or security measures.
We reserve the right to suspend or terminate accounts that violate these restrictions.
Payment, Refunds, and Plan Changes
Billing
- If you are using a free version of our Services (demo satellite access), it is really free: we do not ask you for your credit card and we do not sell your data.
- For paid Services, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. If your account has been frozen for a while, we will queue it up for auto-cancellation.
- Our subscription pricing is based on the number and type of satellites you track:
- Basic tier: $8.99/month per publicly available satellite
- Enterprise tier: $89.99/month per satellite specific to your organization
- Annual subscriptions: 20% discount (billed upfront for the full year)
- If you are upgrading from a free plan to a paid plan, we require a card on file and will charge your card immediately following any free trial period with your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
- Adding satellites: You will be charged immediately on a prorated basis to align with your current billing cycle.
- Removing satellites: Changes will be reflected in your next billing cycle.
- All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
Refunds
We want satisfied customers, not hostages. If you're ever unhappy with our Services for any reason, contact our Support team at [email protected] and we'll take care of you.
- Refund window: Refunds are available within 7 days of payment for both monthly and annual subscriptions.
- How to request a refund: Email [email protected] with your account email, the reason for your request, and which charges you'd like refunded. We typically respond within 1-2 business days.
- Processing: Approved refunds are processed back to your original payment method within 5-10 business days.
- Why a 7-day window: When you subscribe, we begin running complex satellite interference analysis on your behalf. These calculations run daily regardless of how often you log in and require significant compute resources, which is why we limit refunds to within 7 days of each payment.
- Exceptions: We understand things happen. If you have extenuating circumstances outside the 7-day window, reach out to support and we'll evaluate your situation individually.
Free Trials
- New customers may be eligible for a trial period during which a certain satellite of their selection can be tracked at no charge.
- Trial eligibility and duration are determined at our discretion and may vary.
- At the end of any trial period, standard subscription rates apply unless you cancel.
- We reserve the right to modify or discontinue trial offers at any time.
Cancellation and Termination
How to Cancel
- You are solely responsible for properly canceling your account. Within our Services, we provide a cancellation option in your account settings (navigate to Billing > Cancel Subscription). An email or phone request to cancel your account is not automatically considered cancellation. If you need help canceling your account, you can always contact our Support team at [email protected].
- If you cancel the Service before the end of your current paid up period, your cancellation will take effect at the end of that period, and you will retain access until then. You will not be charged again. We do not automatically prorate unused time in the last billing cycle.
What Happens When You Cancel
- Upon cancellation, your account is downgraded to free tier (demo satellite access only) at the end of your billing period.
- Contact support to request full account deletion. We will remove your account access and delete personal information (name, email, billing details). As described in the License to Your Content and Data section, Derived Data we have created from your Customer Data—including contributions to our global satellite model—will be retained and will not be used to identify you.
- Before you cancel, we recommend recording any data you want to keep, including satellite tracking configurations, coverage analysis results, and custom ground station locations.
- Reactivating after cancellation: If you cancel and later decide to return, contact support and we may be able to restore your data depending on timing.
Termination by Company
- We have the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any data in the account. Termination will furthermore result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all data in your account.
- Verbal, physical, written or other abuse (including threats of abuse or retribution) of a Company employee or officer will result in immediate account termination.
Modifications to the Service and Prices
- We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.
- Sometimes we change the pricing structure for our products. When we do that, we tend to exempt existing customers from those changes. However, we may choose to change the prices for existing customers. If we do so, we will give at least 30 days notice and will notify you via the email address on record.
Uptime, Security, and Privacy
- Your use of the Services is at your sole risk. We provide these Services on an "as is" and "as available" basis.
- We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. Of course, we'll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
- We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet.
- When you use our Services, you entrust us with your data. We take that trust to heart. You agree that Vega may process your data as described in our Privacy Policy and for no other purpose. We as humans can access your data for the following reasons:
- To help you with support requests you make.
- On the rare occasions when an error occurs that stops an automated process partway through. We get automated alerts when such errors occur. When we can fix the issue and restart automated processing without looking at any personal data, we do.
- To safeguard Vega. We'll look at logs and metadata as part of our work to ensure the security of your data and the Services as a whole.
- To the extent required by applicable law.
- We use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.
- Under the California Consumer Privacy Act ("CCPA"), Vega is a "service provider", not a "business" or "third party", with respect to your use of the Services. That means we process any data you share with us only for the purpose you signed up for and as described in these Terms and the Privacy Policy. We do not retain, use, disclose, or sell any of that information for any other commercial purposes unless we have your explicit permission.
- To the fullest extent provided by law, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Services or any content obtained through the Services.
Disclaimer of Warranties
THE SERVICES, THEIR CONTENT, AND ANY DATA OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.
TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Satellite Data and Third-Party Sources
- Our Services utilize satellite orbital data (Two-Line Element sets) from third-party sources including Space-Track.org and Celestrak. This data is provided "as is" and we make no guarantees about its accuracy, completeness, or timeliness.
- Coverage analysis results, interference predictions, and frequency mapping information are provided for informational purposes only. You should not rely solely on our analysis for critical operational decisions without independent verification.
- Frequency allocation data is sourced from public regulatory databases (FCC, ITU) and may not reflect the most current allocations. Always verify frequency assignments with the appropriate regulatory authority before making spectrum-related decisions.
- You acknowledge that satellite orbital mechanics involve inherent uncertainties and that actual satellite positions may differ from predicted positions.
- The Services are under active development. As we expand our real-world measurements and data pipelines, analysis confidence and accuracy will improve over time. You should treat our analysis as a reference tool rather than a definitive source, and exercise independent judgment for operational decisions.
Ownership of the Services
Ownership. The Company (or its licensors) owns all right, title, and interest in and to the Services, including all associated software, models, algorithms, documentation, and visual design elements, together with all related intellectual property and proprietary rights. Except for the limited rights expressly granted to you in these Terms, no other rights in or to the Services are granted, and all such rights are expressly reserved.
Proprietary technology. Without limiting the foregoing, the coverage analysis algorithms, interference detection methods, frequency mapping systems, orbital propagation models, visualization techniques, and any related know-how, models, and documentation are proprietary to the Company and constitute valuable trade secrets and confidential information of the Company.
Use restrictions. You may not reproduce, duplicate, copy, sell, resell, publicly display, distribute, reverse engineer, decompile, disassemble, or otherwise exploit any portion of the Services, any use of the Services, or any access to the Services, including any HTML, CSS, JavaScript, underlying models, or visual design elements, except as expressly permitted in these Terms or to the extent such restriction is prohibited by applicable law.
No competing models or services. You may not use the Services, or any outputs, data products, or visualizations generated by the Services, to develop or train models, tools, or services that compete with the Services or that provide substantially similar functionality, except where we expressly agree in a separate written agreement.
Similarity of results. Because of how the Services and our models operate, similar or identical outputs (for example, interference forecasts, coverage metrics, or visualizations) may be generated for multiple customers. These similarities by themselves do not mean that your Customer Data has been disclosed to another customer.
Data review. We do not generally pre-screen data, but we reserve the right (without obligation) in our sole discretion to refuse, remove, or disable access to any data available via the Services, including data that we believe violates these Terms or applicable law, or that we otherwise deem harmful to the operation, security, or reputation of the Services.
License to Your Content and Data
Definitions. For purposes of these Terms:
- "Customer Data" means any data, content, or information you or your users submit to or through the Services, including satellite and ground-station configurations, parameters, and analysis inputs and outputs.
- "Derived Data" means data sets, models, insights, statistics, metrics, or other information that we create or derive from Customer Data and from use of the Services, including aggregated and anonymized data and our holistic model of the satellite ecosystem.
Your ownership. As between you and the Company, you retain ownership of the raw Customer Data you submit to the Services. We do not claim ownership of your underlying satellite, ground station, or operational records.
License to operate and improve the Services (including cross-customer learning). By submitting, posting, or inputting any Customer Data to the Services, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers), and transferable license to use, host, store, reproduce, modify, process, and display Customer Data in order to:
- Provide, operate, maintain, secure, and support the Services
- Configure, tune, and optimize the Services for your environment and use cases
- Detect, prevent, and address security, abuse, and technical issues
- Perform internal analytics regarding performance, reliability, and usage of the Services
- Develop, train, fine-tune, and improve our algorithms, models, and analytical capabilities, including those we make available to other customers, in a manner that does not disclose your Customer Data to other customers in identifiable form
This license is intended to allow us to build and maintain a cohesive, high-fidelity model of the global satellite ecosystem that benefits you and other customers.
Examples of Customer Data. Customer Data may include, without limitation:
- Satellite communication configurations (frequencies, modulation parameters, antenna specifications, power settings)
- Ground station data (locations, equipment specifications, coverage parameters)
- Analysis parameters and results (time windows, thresholds, coverage data, interference events)
- Feedback, suggestions, and feature requests
- Usage patterns and operational data relating to how you and your users interact with the Services
Derived Data and the global satellite model.
- We may generate Derived Data from Customer Data and from use of the Services, including anonymized or aggregated statistics, risk scores, coverage maps, interference likelihood indices, model weights, and other analytical outputs.
- Derived Data will not be used to identify you or your end users as the source of the underlying Customer Data, and we will not intentionally re-identify Derived Data back to you or your end users.
- As between you and the Company, the Company owns all right, title, and interest in and to Derived Data, including any global or regional models of satellite behavior, interference patterns, and spectrum usage built using Customer Data.
- The Company may use Derived Data for any lawful purpose, including improving the Services, developing new products, and generating benchmarks and insights across customers.
Ownership of improvements. Any improvements, enhancements, modifications, or derivative works to the Services, our algorithms, models, or analytical capabilities that are created using or informed by Customer Data or your feedback (collectively, "Improvements") will be solely owned by the Company. To the extent any rights in Improvements do not automatically vest in the Company, you assign to the Company all right, title, and interest you may have in such Improvements. Nothing in this section limits your right to continue using your own Customer Data.
Feedback. If you provide feedback, suggestions, or ideas regarding the Services, you acknowledge and agree that we may use such feedback without restriction or obligation to you, including without compensation.
Your responsibilities and warranties. You are responsible for the Customer Data you submit and for how you and your users use the Services. You represent and warrant that:
- You have all necessary rights, consents, and permissions to submit Customer Data to the Services and to grant the licenses described in this section; and
- Customer Data, and your use of the Services in connection with Customer Data, do not and will not infringe, misappropriate, or otherwise violate the intellectual property, privacy, or other rights of any third party.
- Note: While the Services are not currently subject to U.S. export control regulations (such as EAR or ITAR), you remain responsible for ensuring your use of the Services complies with any applicable export laws in your jurisdiction.
Data retention and survival of rights.
- We retain Customer Data in accordance with our Privacy Policy and any applicable data processing agreement.
- The license described in Section 3 remains in effect for so long as we store Customer Data for the purposes described in that section.
- Our rights in Derived Data, Improvements, and feedback are not dependent on continued storage of your raw Customer Data and will continue after your account or these Terms terminate.
Conflicts with separate written agreements. If you and the Company enter into a separate written agreement (such as an order form, data processing agreement, or enterprise contract) that expressly modifies how we may use Customer Data, that agreement will control to the extent of any conflict with this section.
Features and Bugs
We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there is no such thing as a service that pleases everybody. We make no guarantees that our Services will meet your specific requirements or expectations.
We also test all of our features extensively before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don't guarantee completely error-free Services.
API Terms
If we offer Application Program Interfaces ("APIs") for our Services, any use of the API, including through a third-party product that accesses the Services, is bound by these Terms plus the following specific terms:
- You expressly understand and agree that we are not liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
- Abuse or excessively frequent requests to the Services via the API may result in the temporary or permanent suspension of your account's access to the API. The Company, in its sole discretion, will determine abuse or excessive usage of the API. If we need to suspend your account's access, we will attempt to warn the account owner first.
- API access may be subject to rate limits and usage quotas based on your subscription tier.
Liability
We mention liability throughout these Terms but to put it all in one section:
You expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) any errors or inaccuracies in satellite data, coverage analysis, or frequency information; (vi) operational decisions made based on data provided by the Services; (vii) or any other matter relating to these Terms or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.
If we are found liable for any loss or damage that arises out of or in connection with your use of the Services, then our liability, in the aggregate, shall not exceed the greater of: (a) the total fees you paid to the Company during the twelve (12) months prior to the action giving rise to the liability; or (b) one hundred United States dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. The foregoing limitations apply to the fullest extent permitted by applicable law.
In other words: choosing to use our Services does mean you are making a bet on us. If the bet does not work out, that's on you, not us. We work hard to be as reliable as possible through careful management of the business, investments in security, infrastructure, and talent.
